Terms of Service

Welcome to VELLUMHUE, a Building Intelligence Platform operated by Fozula Enterprises Inc. (or the applicable VELLUMHUE operating entity).

These Terms of Service ("Terms") govern your access to and use of the VELLUMHUE website, platform, applications, and related services.

By creating an account, accessing, or using VELLUMHUE, you agree to these Terms.

1. About VELLUMHUE

VELLUMHUE is a Building Intelligence Platform designed to help organizations organize, monitor, analyze, and manage information related to buildings, construction projects, compliance activities, sustainability initiatives, and operational performance.

The Platform is intended for professional and commercial use.

2. Eligibility

You must have the legal authority to enter into these Terms on behalf of yourself or your organization.

If you are using VELLUMHUE on behalf of a company or other legal entity, you represent that you have authority to bind that organization.

3. User Accounts

You are responsible for:

  • maintaining the confidentiality of your account;

  • protecting your login credentials;

  • ensuring that information provided is accurate and current;

  • all activities occurring under your account.

You must notify us immediately of any unauthorized access or suspected security incident.

4. Subscription Plans

VELLUMHUE offers multiple subscription plans, including a free plan and paid enterprise plans.

Features, storage limits, workspaces, artificial intelligence capabilities, integrations, and other functionality depend on your selected subscription.

We reserve the right to modify subscription plans, features, pricing, or service availability with reasonable notice.

5. Billing and Payments

Paid subscriptions are billed in advance.

Subscription fees are charged according to your selected billing cycle.

Unless otherwise stated, subscriptions automatically renew until cancelled.

You authorize VELLUMHUE and its payment providers to charge the applicable subscription fees using your selected payment method.

Failure to complete payment may result in suspension or termination of your subscription.

6. Cancellation and Refund Policy

You may cancel your subscription at any time.

Cancellation prevents future renewals but does not automatically create eligibility for a refund.

Initial Subscription Purchases

Refund requests for first-time subscriptions purchased directly through VELLUMHUE may be submitted within three (3) calendar days of the initial purchase.

Refund requests are reviewed individually.

Refunds may be denied if:

  • substantial platform usage has occurred;

  • significant data has been imported;

  • implementation or onboarding services have been provided;

  • enterprise configuration work has begun;

  • the request appears abusive or fraudulent.

Subscription Renewals

Subscription renewals are generally non-refundable.

Customers are responsible for cancelling before the next billing date.

Professional Services

Professional services including implementation, consulting, onboarding, migration assistance, custom configuration, training, or similar services are non-refundable once work has begun.

Where applicable law provides additional consumer rights, those rights remain unaffected.

7. Customer Data

Your organization retains ownership of the information you upload to VELLUMHUE.

This includes, but is not limited to:

  • buildings;

  • projects;

  • operational records;

  • compliance documentation;

  • sustainability information;

  • inspections;

  • reports;

  • uploaded files;

  • photographs;

  • supporting documentation.

You are responsible for ensuring you have the necessary rights to upload and manage this information.

8. Intellectual Property

VELLUMHUE, its software, interfaces, branding, documentation, designs, graphics, publications, trademarks, and related intellectual property remain the exclusive property of Fozula Enterprises and its licensors.

These Terms do not transfer ownership of any intellectual property.

You may not:

  • copy;

  • reverse engineer;

  • modify;

  • distribute;

  • sublicense;

  • resell;

  • reproduce;

  • create derivative works from

any portion of the Platform without written authorization.

9. Artificial Intelligence Features

Certain subscription plans include artificial intelligence capabilities.

Artificial intelligence features are designed to assist users by analyzing authorized organizational information and generating recommendations or summaries.

Artificial intelligence outputs are intended to support decision-making and should not be considered legal, engineering, architectural, regulatory, accounting, financial, or professional advice.

Users remain responsible for reviewing all generated content before relying upon it.

10. Compliance Responsibilities

VELLUMHUE provides tools to organize, monitor, analyze, and manage operational information.

The Platform does not guarantee compliance with applicable laws, regulations, building codes, contractual obligations, inspections, certifications, or reporting requirements.

Each organization remains solely responsible for maintaining regulatory compliance.

11. Availability of Services

We continually improve the Platform.

We may:

  • add features;

  • modify functionality;

  • discontinue certain services;

  • perform scheduled maintenance;

  • deploy security updates.

While we strive for high availability, uninterrupted service cannot be guaranteed.

12. Acceptable Use

You agree not to:

  • use the Platform for unlawful purposes;

  • upload malicious software;

  • interfere with platform security;

  • attempt unauthorized access;

  • abuse artificial intelligence services;

  • violate intellectual property rights;

  • misuse another organization's information.

Violation of these Terms may result in suspension or termination.

13. Third-Party Services

VELLUMHUE may integrate with third-party services including payment providers, cloud storage providers, communication platforms, mapping services, or productivity tools.

Use of those services is subject to their respective terms and privacy policies.

14. Limitation of Liability

To the maximum extent permitted by law, VELLUMHUE shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Platform.

Our total liability shall not exceed the subscription fees paid by the customer during the twelve (12) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Fozula Enterprises, VELLUMHUE, its directors, employees, affiliates, contractors, and licensors against claims arising from:

  • your use of the Platform;

  • violation of these Terms;

  • infringement of third-party rights;

  • unlawful use of uploaded information.

16. Suspension and Termination

We may suspend or terminate accounts that:

  • violate these Terms;

  • engage in fraudulent activity;

  • compromise platform security;

  • fail to pay applicable subscription fees.

Termination does not relieve outstanding payment obligations.

17. Changes to These Terms

We may update these Terms periodically.

Material changes will be communicated through the Platform or by other reasonable means.

Continued use of the Platform following updates constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by the laws applicable to the operating VELLUMHUE entity and any applicable federal laws, without regard to conflict of law principles.
